		&lt;p&gt;Foley Hoag represents 38 Studios, LLC, the interactive media and entertainment company founded by former Major League Baseball All-Star pitcher Curt Schilling. 38 Studios is developing, among other entertainment products, an epic massive multi-player online game based on a proprietary storyline created by New York Times best-selling fantasy and science fiction author R.A. Salvatore, with characters and environment designed by world-renowned illustrator Todd McFarlane. &lt;/p&gt;
    &lt;p&gt;Foley Hoag provides advice to 38 Studios across a number of legal disciplines. For example, our lawyers represented the company in its most recent equity financingrelated transactions and provided guidance on its organizational structure to facilitate future, tax-efficient financing. We structured and negotiated its acquisition of The Azeroth Advisor and related assets from Mentor Media with an emphasis on minimizing the company’s potential liability. Our lawyers designed the company’s employee equity incentive plan to motivate employees while complying with IRS rules and working with the company’s structure as an LLC. We also developed contest rules for its successful national marketing promotions. &lt;/p&gt;
    &lt;p&gt;As outside general counsel, Foley Hoag lawyers regularly advise 38 Studios on employment, immigration and intellectual &lt;br /&gt;property matters. When 38 Studios identified key creative talent outside the U.S., our lawyers obtained the necessary work visas to ensure that 38 Studios could hire the best and brightest employees. We negotiated critical inbound game technology licenses for 38 Studios with the industry’s biggest players, leveraging the firm’s deep experience in software and patent licensing. Our lawyers advised the company as to the domestic and international availability of proposed marks, successfully challenged the attempted use and registration of an infringing mark, and devised a strategy that could enable the company to apply for registration of certain marks without disclosing its identity. Finally, our employment lawyers’ counseling has helped 38 Studios maintain ongoing compliance with state and federal employment law.&lt;/p&gt;</description>
