Adrienne Ellman maintains a general business practice, advising public and private companies on a wide range of corporate matters. Adrienne concentrates her practice on representing public and private buyers and sellers in mergers and acquisitions and other strategic business transactions. She also represents companies in secured and unsecured debt financings and other securities matters as well as advises early stage companies on corporate governance and management, equity financing transactions and general legal matters. Adrienne’s corporate work extends to advising non-profit tax-exempt organizations.

  • Represented Inovalon Holdings Inc. in its $1.2B acquisition of ABILITY Network
  • Represented Fiera Comox Partners Inc. in its acquisition of Vermont-based Sweet Tree Holdings 1, LLC (d/b/a The Maple Guild)
  • Represented the shareholders of the Northern Harvest Sea Farms group in its sale to Marine Harvest for CAD 315 million 
  • Represented Mill Road Capital II, L.P. and its portfolio company, Skullcandy Inc., in the $85M sale of Skullcandy’s ASTRO Gaming headset business to Swiss public company Logitech 
  • Represented Exa Corporation in its $400M sale to French software company Dassault 
  • Represented International Data Group, Inc. in its acquisition by China Oceanwide and IDG Capital, Inc.
  • Represented Mill Road Capital in its take-private acquisitions of Skullcandy, Inc., R.G. Barry Corporation and Rubio’s Restaurants, Inc.
  • Represented IQuum, Inc. in its sale to Roche Molecular Systems, Inc. for approximately $450 million
  • Represented deCODE Genetics ehf in its sale to Amgen Inc. for approximately $415 million
  • Represented WHI Solutions, Inc. in sale to eBay, Inc.
  • Represented Thomas Partners Inc. in its sale to The Charles Schwab Corporation
  • Represented numerous other private and public companies in acquisitions and dispositions
  • Represented private equity firm in credit facilities to finance in part going private acquisitions of public companies
  • Prepared numerous Hart-Scott-Rodino antitrust filings on behalf of public and private companies
  • Represented private companies and private equity funds in early stage financings, secured debt financings and general corporate matters
