Corporate Paralegal

Foley Hoag LLP seeks a paralegal for the Business Department with 5+ years of experience as a corporate paralegal in large law firm and/or in house setting supporting either corporate transactions or fund formation lawyers. Responsibilities include supporting Business Department lawyers in preparation for, and the closing of, various business transactions including mergers and acquisitions, financings and private fund formations. Candidates should be proficient in researching state corporate filing requirements, drafting and filing documents required to form business entities, including corporations, partnership, limited liability companies and not-for-profit organizations, preparing votes and maintaining corporate and stock records, reviewing subscription agreements, preparing and filing UCC financing statements and obtaining certificates of good standing.  Knowledge and experience with Form D and Blue Sky filings a plus. Strong communication and interpersonal skills and ability to work successfully with attorneys and clients are necessary. 

Requirements

  • Bachelor’s Degree is required; Paralegal Certificate a plus.
  • Knowledge of the internet for legal research.
  • Experience using electronic signature solutions, and Corporate Focus, CapShares and/or Carta background is preferred.
