A conversation with Senior Managing Director of Evercore Paul Deninger and Foley Hoag Partners
Please join us on March 4 for our quarterly M&A Forum, which brings the latest in market trends and recent legal developments to the New England M&A professionals' community. Topics to be discussed:
- Capital Markets Review and Prognosis
Paul Deninger, Senior Managing Director of Evercore, will survey the 2014 M&A and IPO markets and offer his thoughts on where they may go in 2015. Paul has more than 25 years of advisory experience and has completed over 150 technology and cleantech transactions in his career, working on deal with such technology leaders as Adobe, BMC, CA, Hitachi, IBM, Intel, Microsoft, Nuance, Oracle and Siemens.
- What to Do After Cigna v. Audax?
Last year’s Thanksgiving turkey for many M&A lawyers was a November 26 Delaware Chancery Court decision that raises doubts about a commonly used deal structure for acquiring private companies. Foley Hoag partner John Hancock will discuss what deal lawyers are doing about it.
- Refocus on Revlon
More in the holiday spirit, two December Delaware decisions brought cheer to boardrooms as courts deferred to directors’ decisions to pursue a single bidder strategy (C&J Energy Services) and to decline to entertain a higher bid because of regulatory concerns (In re Family Dollar Stores). Foley Hoag partner Peter Rosenblum will discuss these important decisions.
