Jennifer V. Audeh is a partner in the firm’s Business Department and focuses her practice on corporate finance. She regularly advises clients on corporate and transactional matters including: representing borrowers and lenders in secured and unsecured debt financings; representing companies and investors in private equity and venture capital financings; and representing buyers and targets in mergers and acquisitions. Her corporate work also extends to representing small business investment companies in connection with fund formation and licensing by the U.S. Small Business Administration, portfolio transactions and regulatory compliance matters.

Representative Experience

  • Represented SBIC Fund in $17 million capital call facility. 
  • Represented The ONE Group Hospitality, Inc., owners and licensors of the STK branded restaurants, in the acquisition of the assets of Kona Grill, Inc. and its affiliates out of bankruptcy.
  • Represented private equity fund in $14 million senior secured term loan to developer of data centers.
  • Represented private equity fund in $23 million senior secured term loans to real estate and media business.
  • Represented SBIC fund in $8.75 million secured mezzanine debt and preferred stock investment in a designer, developer, and marketer of tableware serving high-end hospitality and retail customers.
  • Represented private equity firm in debt financing for leveraged buyout of public audio products company involving $85 million term loan and $40 million asset-based credit facility. 
  • Represented Oberthur Technologies S.A. in the sale of the international roaming and recharge business of Oberthur’s subsidiary, More Magic Solutions, Inc., to Prepay Nation LLC. 
  • Represented Quincy Bioscience in $5.75 million in secured mezzanine debt and warrant investment by CapitalSouth.
  • Represented CutisPharma, Inc., a privately held specialty pharmaceutical company, in its $20 million equity financing round.
  • Represented Alere Inc. in syndicated $2.1 billion senior secured term loan and revolving credit facilitates, and $1.95 billion refinancing of these facilities.
  • Represented public company issuer in debt consent solicitations to amend terms of indentures.
  • Represented Alere Inc. in multiple offerings (both public and Rule 144A) of senior subordinated notes totaling approximately $1.7 billion.
  • Represented Alere Inc. in multiple offerings (both public and Rule 144A) of senior notes, totaling approximately $700 million, including financing acquisitions.
  • Represented Good Start Genetics, Inc. in $28 million mezzanine financing with Capital Royalty, L.P.
  • Represented SBIC investment funds lenders and small business borrowers in numerous mezzanine debt and equity investments.
