Robert Chow is a partner in Foley Hoag's Business Department and co-chair of the firm’s EdTech practice group, and a member of the Emerging Companies and Venture Capital Practice Group. Robert provides practical actionable legal advice to entrepreneurs, emerging growth companies and venture investors. He advises companies at all stages of development, including formation and governance issues, equity and compensation matters, venture capital financings, technology licensing, securities law and other regulatory compliance, and mergers and acquisitions.

Robert also serves as corporate counsel for, among others, EdTech companies, software companies, life sciences companies, healthcare IT companies, food services and entertainment companies, companies that deal in renewable energy credits, and companies exploiting technologies licensed from universities, including an advanced catalyst technology for petroleum refining that increases the yield of fuels and decreases the amount of waste products produced from refining crude oil.

EdTech

Representation of several EdTech clients in connection with merger, acquisition and complex reorganizations, including:

  • Represented Certica Solutions in connection with its acquisition of Academic Benchmarks, a K-12 assessment content company.
  • Represented Certica Solutions in connection with its acquisition of the Navigate Item Bank, a standards-based item bank aligned to the Common Core State Standards and state-by-state learning standards.
  • Represented Certica Solutions in connection with its acquisition of Educuity, a professional services firm focused on the delivery of Ed-Fi® services, technology and data architecture for state and local education agencies.
  • Represented Certica Solutions in its acquisitions of data analytics technology for use by K-12 school districts.
  • Serve as corporate counsel for uConnect, Majorwise and ExtensionEngine.

  • Represented Curriculum Associates, a publisher of research-based print and online instructional materials, in a capital partnership with Berkshire Partners & Motion Math.
  • Represented Founder Collective in its investment in Edmit, a business that helps families make smarter financial decisions about college.

  • Represented a healthcare IT client in an acquisition by Merck.

  • Represented a clean technology company in $47 million in financing through several financing rounds. 
  • Represented a data networking infrastructure company in $26 million financing.
  • Negotiation of a strategic alliance for the distribution of a cloud computing company’s applications by Hewlett Packard.
  • Negotiation of exclusive licenses for technologies developed by universities.

Life Sciences

  • Represented a life sciences emerging company in $39 million in financing through several financing rounds for a pharmaceutical company.
  • Spin-out of a dermatological products company from a pharmaceutical company.
  • Representation of a bio-manufacturing equipment company in its sale to GE Healthcare.

Venture Capital

Representation of numerous venture capital firms and other investors in investing an aggregate of over $250 million in portfolio companies, including:

  • $36.8 million investment in a mobile phone handset manufacturer.
  • $12.5 million investment in a drug development company.
  • $11 million investment in a provider of online marketing solutions.
  • A remote IT management software company in its acquisition by Citrix Systems.
