Mark Haddad is a partner in Foley Hoag’s Business Department, where he has a broad corporate practice, representing investors, startup companies and public companies. His transactional practice focuses on representing buyers and sellers in mergers and acquisitions, and other strategic transactions. Mark serves as outside general counsel to many venture funded startup companies in the life sciences, technology and clean energy sectors. He also represents numerous venture capital, private equity and angel investors in their portfolio investments. In addition, Mark advises public companies on securities matters and defensive measures.

M&A: Buy-side and sell-side support

  • Advised 7AC Technologies, a developer of ultra-high efficiency HVAC systems, in its sale to Emerson Electric
  • Global biopharmaceutical company Alexion Pharmaceuticals (Nasdaq: ALXN) in several acquisitions including:
    • its acquisition of Achillion (Nasdaq: ACHN) , a clinical-stage biopharmaceutical company for $1.2 billion
    • its acquisition of Syntimmune for $1.2 billion
  • Honest Buildings, a real estate project management platform in its sale to Procore Technologies, a leading provider of construction management software
  • Pika Energy, a manufacturer of innovative battery storage technologies, in its sale to power products manufacturer Generac Holdings
  • Circle Surrogacy, a surrogacy and egg donation-related business based in Boston, MA, in its acquisition by Ultima Capital Partners
  • Mill Road Capital II, L.P. and its portfolio company, Skullcandy Inc., in spin off of Skullcandy’s ASTRO Gaming headset business to Logitech (Nasdaq: LOGI) for $85 million

  • Represented Form Health, a telemedical weight loss company, in its $12 million Series A funding led by M13, with participation from SignalFire and NextView Ventures. 
  • Represented venture capital firm Bessemer Venture Partners as lead investor in a $17 million funding round for money management platform Truebill, Inc. 
  • Kula Bio, a sustainable agriculture start-up in its Series Seed financing
  • GreatHorn, a cloud-native email security provider in its $13 million funding round co-led by RRE Ventures and .406 Ventures
  • Venture capital firm CRV as lead investor in a $12.7 million Series A financing for Abacus Insights, a healthcare data integration company
  • Bessemer Venture Partners, as lead investor in the Series C financing of smart water dispenser Bevi (Hydration Labs)
  • Tank Utility, a provider of IoT tank monitoring and logistics optimization services, in a financing round led by Bullpen Capital
  • Early stage venture capital firm .406 Ventures in its $9 million Series A investment in log search and analytics platform CHAOSSEARCH
