Erica Harrington is an associate in Foley Hoag’s Business Department. She advises public and private companies on a wide range of corporate matters including formation, financings, mergers and acquisitions and general corporate governance matters.

Erica is an active member of the firm’s Energy & Cleantech practice group and represents solar developers and investors in a variety of renewable energy transactions, including acquisitions, project development, tax equity, sponsor equity and debt financings.

Energy & Cleantech

  • Represented Vineyard Wind LLC in submitting its winning bid in Massachusetts’ 83C procurement to develop an 800MW offshore wind farm off the coast of Martha’s Vineyard 
  • Advised Bluewave Solar in connection with solar project transactions, including construction and development financings and acquisitions
  • Advised Soltage, LLC in connection with sponsor and tax equity solar project portfolio financings, including multiple acquisition transactions and a back leverage lending facility
  • Advised Greenwood Energy in connection with a tax equity financing and back leverage lending facility for a multi-state portfolio of solar projects
  • Advised Goldenset Capital Partners in connection with $50 million sponsor equity and simultaneous tax equity investments for a portfolio of Massachusetts solar projects

Mergers and Acquisitions

  • Represented LevelUp, a leader in mobile diner engagement and payment solutions for restaurants, in its $390M sale to online and mobile food-ordering and delivery marketplace Grubhub Inc. (NYSE: GRUB)
  • Represented Inovalon Holdings Inc. (INOV:Nasdaq) in its $1.2B acquisition of ABILITY Network

Venture Capital 

  • Represented Greenlight Biosciences in connection with its $18 million Series D Financing
  • Represented LaunchCapital LLC as lead investor in a seed round of financing in ClearGov Inc., a local startup seeking to improve transparency for municipal spending
  • Represented SolidEnegy Systems, a breakthrough energy storage technology developer, in connection with its $35 million Series C Financing
  • Represented CleanCapital LLC in connection with its $3.7 million Series A Financing

  • Represented non-profit and for-profit emerging companies in connection with formation, corporate governance, early-stage financings and other funding endeavors
