Sam Hughes focuses his practice on the formation and representation of private investment funds, including venture capital funds, private equity funds and hedge funds.
Sam assists with all aspects of fund formation, including, negotiating and drafting organizational and offering documents, advising investment managers and private funds as to their regulatory and compliance obligations under state and federal securities and commodities laws and regulations and coordinating closings. He also reviews fund terms on behalf of prospective investors.
