Nicola Lemay, JD/MBA, is the Chair of Foley Hoag’s Tax Practice Group and a partner in the firm’s Business Department. Nicola has more than 20 years of legal and tax experience advising clients, ranging from early-stage to established private and public companies, on domestic and international matters. She excels in providing clients with practical and creative tax solutions, including tax advice relating to domestic and cross-border mergers and acquisitions, capital raising and deployment strategies, corporate structuring matters, the drafting and interpretation of partnership and LLC operating agreements, and tax credit transactions.

Representative Experience

  • Represented GreenLight Biosciences, a biotechnology company dedicated to making RNA products affordable and accessible for human health and agriculture, in a $1.2 billion SPAC business combination with Environmental Impact Acquisition Corp. (Nasdaq: ENVI), that will result in GreenLight becoming a publicly listed company. 
  • Represented Ginkgo Bioworks, Inc. in a collaboration and license agreement with Biogen (Nasdaq: BIIB) to develop a next-generation recombinant adeno-associated virus (AAV) production platform.
  • Represented The Valens Company Inc., a leading manufacturer of cannabis products, in the acquisition of Green Roads worth up to $60M.


  • Named a “Massachusetts Super Lawyers Rising Star” in the area of tax law in the May 2005, 2006 and 2007 editions of BOSTON MAGAZINE
