Jennifer Lichtman is an associate in Foley Hoag’s Business Department. Jennifer maintains a diverse business practice focused on advising entrepreneurs and emerging growth companies at all phases of the corporate life cycle, including with respect to organization, corporate governance, angel and venturing financing, commercial transactions, employment matters, intellectual property matters, and exit via mergers and acquisitions or public offerings. Jennifer’s practice spans industries such as software and technology, life sciences, financial services, fashion and luxury retail, wellness and reproductive health. In addition to her work for for-profit companies, Jennifer serves as a trusted advisor to a national charity that provides assistance to homeless and low-income children.

  • Represented developer of web-based software platform for biological data management, analysis, visualization, and interpretation in connection with its Series Seed Financing.
  • Represented data analytics software developer in connection with its Series Seed Financing.
  • Represented vaccine developer in connection with its Series A Financing.
  • Represented mobile payment application developer in connection with its Series A Financing.
  • Represented direct-to-consumer luxury shoe brand in connection with its Series B and Series B-1 Financings.

Mergers and Acquisitions

  • Represented Recorded Future, Inc., a threat intelligence company, in $780 million controlling interest sale to Insight Partners.
  • Represented Ness Digital Engineering, a custom software development company, in its acquisition of Sovereign CRM, a Salesforce consultancy.
  • Represented L2, Inc., a business intelligence firm that benchmarks the digital performance of consumer brands, in its acquisition by Gartner, Inc. (NYSE: IT), an information technology research and advisory company.
  • Represented developer of SaaS platform providing business intelligence tools to small-scale farmers in sale of assets. 

Cross-Border Work 

  • Represented multinational restaurant and catering operator as to US law matters in a €25,000,000 secured bank loan.
  • Represented Australian-based provider of assisted reproductive technology as to US law matters in corporate reorganization.
