Marc Nawyn's practice focuses on advising public and private companies at all stages of development on executive compensation and employee benefits matters. He helps his clients design and implement cash and equity-based incentive compensation plans and programs that reflect their commercial objectives, as well as industry and market trends.

He assists them in negotiating and drafting offer letters, employment and consulting agreements, and severance packages. A significant part of his practice involves advising clients on the effects of mergers, acquisitions and other business transaction on their compensation and benefit programs.

Marc also helps clients establish and administer tax-qualified pension and defined contribution plans, non-qualified deferred compensation plans, employee stock ownership plans (ESOPs), employee stock purchase plans (ESPPs) and health and welfare benefit plans. In addition, he advises clients on their fiduciary obligations under the Employee Retirement Income Security Act (ERISA), as well as their compliance with corporate governance rules and best practices, securities laws and stock exchange listing requirements as they relate to executive compensation and employee benefits matters.
