  • Represented The Valens Company Inc. (TSX: VLNS) (OTCQX: VLNCF), a leading manufacturer of cannabis products, in the acquisition of Green Roads worth up to $60M.
  • Represented global cannabis operator Columbia Care Inc. (NEO: CCHW) (CSE: CCHW) (OTCQX: CCHWF) (FSE: 3LP) in its $42.5 million acquisition of the Van de Wetering Greenhouses.
  • Represented Voatz, Inc., a mobile election voting application, in closing its Series A-1 financing, with participation from Apollo Projects, Medici Ventures, Techstars Ventures, Urban Innovation and Wanamaker Portfolio Trust.
  • Represented Kyruus, the leader in provider search and scheduling solutions for health systems, in its acquisition of HealthSparq from Cambia Health Solutions. 
  • Represented Cultivate Holdings in executing a definitive agreement to sell 100% of its business to Cresco Labs (CSE:CL) (OTCQX:CRLBF), for upfront consideration equal to $90 million plus an earnout of up to $68 million.
  • Represented global cannabis operator Columbia Care Inc. (NEO: CCHW) (CSE: CCHW) (OTCQX: CCHWF) (FSE: 3LP) in signing a definitive agreement to acquire Green Leaf Medical, LLC, a privately held, fully integrated cannabis multi-state operator based in the mid-Atlantic region, for approximately $240 million with the potential for additional performance-based milestone payments. 
  • Advised global cannabis operator Columbia Care Inc. (NEO: CCHW) (OTCQX: CCHWF) (FSE: 3LP) in its $69 million acquisition of Project Cannabis, a leading cannabis cultivator, wholesaler and retailer
  • Represented Shift4 Payments (NYSE: FOUR) in connection with its acquisition of 3dcart 
  • Represented AZTherapies, Inc. in its $33.6 million Series C-1 financing 
  • Represented Ascend Wellness Holdings, a multi-state, vertically integrated cannabis operator, in the acquisition of Greenleaf Compassion Center, a New Jersey vertically integrated cannabis company
  • Advised global cannabis operator Columbia Care Inc. (NEO: CCHW) (OTCQX: CCHWF) (FSE: 3LP) in its pending acquisition of The Green Solution (“TGS”), the largest vertically integrated cannabis operator in Colorado, through a transaction initially valued at approximately $140 million  
  • Represented digital financial company BlockFi, Inc. in closing its $37M Series B financing 
  • Represents numerous early stage companies in seed stage and venture financing transactions, including BlockFi, Pear Therapeutics, InsightSquared, MiniLuxe, American Aerogel Corporation, Senti Biosciences and Glympse Bio
  • Represents numerous venture capital firms, including Accomplice, Cue Ball Capital, Safeguard Scientifics and Flagship Pioneering, in their portfolio investment activities
  • Represented LevelUp, a leader in mobile diner engagement and payment solutions for restaurants, in its $390M sale to online and mobile food-ordering and delivery marketplace Grubhub Inc.
  • Represented mobile-focused voting and citizen engagement platform Voatz in its $7 million Series A financing
  • Represented global cybersecurity leader RSA in its acquisition of Fortscale
