Caroline Samp is an associate in Foley Hoag's Business Department. She advises private companies on a wide range of corporate matters, including formation, financings, mergers and acquisitions, and general corporate governance. Caroline also advises public companies with respect to ongoing annual and periodic reporting requirements, Section 16 matters, annual and special stockholder meetings, and Rule 144 compliance and related requests for stock certificate removal.

  • Represented Thermo Fisher Scientific Inc. (NYSE: TMO) in its acquisition of Becton, Dickinson and Company’s Advanced Bioprocessing business
  • Represented Applied Genetic Technologies Corporation (Nasdaq: AGTC) in its sales agreement with Cantor Fitzgerald & Co. for an up to $25 million ATM offering
  • Represented Zosano Pharma Corporation (Nasdaq: ZSAN):
    • $50.0 million underwritten public offering of common stock
    • $29.3 million underwritten public offering of common stock
  • Represented Acer Therapeutics in its merger with Opexa Therapeutics
  • Represented Nelson Properties Limited, a portfolio company managed by Global Forest Partners LP, in the sale of its subsidiary, Nelson Forests Limited, one of New Zealand's leading forestry businesses, to Australian forestry company OneFortyOne Plantations
  • Represented Dell EMC in the sale of EMC’s enterprise content division to Open Text Corporation (Nasdaq: OTEX) (TSX: OTC) for $1.62B
