Adam's practice focuses on advising clients across a wide range of energy and renewable energy projects and related transactions, including representation of developers, investors, host customers and power purchasers in connection with natural gas, geothermal, biomass, onshore and offshore wind, solar, fuel cell, stand-alone and solar-integrated battery storage, electric vehicle and other electric power projects. In advising clients in these constantly developing areas of law, his experience cuts across multiple disciplines, including corporate and company law, secured finance law, state, federal and local taxation and state and federal regulatory law.

Representative Experience

  • Representation of Akamai Technologies, Inc. in signing a power purchase agreement with Enel Green Power for the energy produced by an 18 MW portion of the Azure Sky wind project located in Texas.
  • Representation of Blue Power & Energy S.A. as Borrower in connection with the project financing of its 39.6 megawatt wind project located on the Isthmus of Rivas, Nicaragua.
  • Representation of Honda Motor Co. Inc., in connection with two Solar project funds with SolarCity Corporation.
  • Representation of Soltage, LLC in connection with four separate sponsor-and-tax-equity solar project portfolio financings, including multiple acquisition transactions, partnership agreements, leverage, project contracts and SREC sales transactions.
  • Representation of the developers and owners of community scale wind projects in connection with project development and debt and equity financing, including in connection with turbine supply and procurement, operations and maintenance, power purchase and renewable energy certificate sales agreements and negotiation of construction and permanent loan facilities.
