  • Represented global biopharmaceutical company Alexion Pharmaceuticals, Inc. (Nasdaq: ALXN) in a partnership with Complement Pharma to co-develop a pre-clinical C6 complement inhibitor for neurodegenerative disorders. 
  • Represented information technology corporation Dell Technologies in its $145.8 million sale of Mozy, Inc. to data protection company Carbonite, Inc. (Nasdaq: CARB). 
  • Represented the shareholders of the Northern Harvest Sea Farms group, a group of aquaculture companies engaged in the production of farmed Atlantic salmon in eastern Canada, in its sale to Marine Harvest (OSE:MHG), one of the largest seafood companies in the world and the world’s largest producer of Atlantic salmon, for CAD 315 million.
  • Represented healthcare technology company Abiomed, Inc. (Nasdaq: ABMD) as lead investor in a $15 million Series B financing round for medical device company Magenta Medical.
  • Represented computer-aided engineering company Exa Corporation (Nasdaq: EXA) in its $400M sale to French software company Dassault Systèmes.
  • Represented International Data Group, Inc. (IDG) and its operating subsidiaries International Data Corporation and IDG Communications, Inc. in connection with the acquisition, in two separate transactions, of IDG and of IDG’s extensive portfolio of venture capital holdings by a consortium of buyers led by China Oceanwide Holdings Group Co., Ltd and IDG Capital Partners.
  • Represented Living Proof, Inc., the innovative premium hair care business that solves hair problems by using breakthrough science, in its acquisition by Unilever. Living Proof will be part of Unilever’s Prestige portfolio. 
  • Representation of a leading timber investment management organization in the acquisition and divestment of sustainable plantations and related businesses in Australasia (New Zealand and Australia), South America (Argentina, Brazil, Chile and Uruguay), and Guatemala.
  • Represented a developer of energy projects headquartered in Nicaragua, as it made its first draw of funds for the construction and permanent financing of 39.6-megawatt wind farm.
  • Represented a leading UK provider of participation media services in connection with the sale of its US operations.
  • Representation of a major Nigerian insurance company in connection with its investments in Nigeria, other African countries and the United States, including the acquisition of insurance subsidiaries and the diversification of its investment portfolio.
  • Assisted a US semiconductor company in the restructuring of its international business operations and the formation of an Irish holding company.
  • Assisted a Norwegian defense manufacturer in setting up US manufacturing operations and its ongoing US activities.
  • Advised Indian and UK investment managers on US regulatory, securities and tax matters and the marketing of private funds in the US.
  • Represented a US travel service in the reverse acquisition of an Irish company engaged in complementary businesses.
  • Provided pro bono assistance to a US non-profit social investment fund in connection with setting up its operations in Latin America and Africa.
  • Assisted a US based NGO in organizing its operations in India.
  • Assisted a US high tech company in organizing a Wholly Foreign Owned Enterprise in China. 
  • Represented a Japanese company in the acquisition and ongoing operation of a US medical device manufacturer.  
  • Representation of the Government of Guyana in the privatization of its state-owned enterprises in the electricity, telecommunications, mining, and manufacturing sectors, under complete divestment, public/private partnership, joint venture, and concession arrangements.
