Private Equity Funds and SBICs

Our clients include both traditional and SBIC venture capital, buyout, mezzanine, and other private equity funds, both domestic and international, for whom we provide a full range of services, including fund formation, management organization, and portfolio transactions. The firm has represented SBICs
for 30 years. We have the requisite depth of experience to be closely familiar with market and regulatory norms and trends. We seek to differentiate ourselves by providing our clients with in-depth experience, innovative problem solving, and superior service. Although most fund terms are necessarily guided by market and regulatory conditions, we believe that a “one size fits all” approach does a disservice to clients who may require reasonable solutions to their circumstances. Although our clients closely follow the “market” in the vast majority of cases, some have found ample room for creativity when necessary, such as the creation of multiple investor classes, the re-opening of a fund’s fundraising, the buyout of the SBA’s position in a fund, the sale of all or part of a portfolio, and the opening of offices in more than one country, to name just a few examples.

Transactional Practice

The firm provides a broad range of transactional services to private equity investors in connection with early- and later-stage investments, and leveraged buyouts and leveraged recapitalizations. Investments and investment dispositions include companies of all sizes and sectors, and involve  matters relating to private equity and debt issuances, public offerings, PIPEs, mergers and acquisitions, management incentives, cross-border transactions, and tax and exit structuring. Our transactional experience enables us to give advice that is practical and value-added while moving a deal to closing.
