Our lawyers have organized numerous private investment funds, both in the United States and offshore, to act as commingled investment vehicles for our clients’ investors. These funds operate at the intersection of numerous laws and regulations, including the Investment Advisers Act of 1940, relevant exemptions from registration under the Investment Company Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, the Commodity Exchange Act and relevant state securities laws and regulation.

Our team also regularly represents major institutions and intermediaries in connection with institutional investments in hedge funds. Our work with these institutions and intermediaries gives us in-depth knowledge of market trends and terms that are “market” or new innovations. We convey relevant aspects of that knowledge to our clients and apply it directly in our work structuring funds and fund offerings for sponsors of hedge funds and other private funds.
