Partner William Kolb will speak on a panel titled "A Practical Comparison of U.S.-Style Deal Terms Versus European, Canadian, Asian, Latin American, and Civil-Law Approaches" at the ABA Business Law Section Fall Meeting in Chicago. The panel is part of the International Private Equity and Venture Capital subcommittee programming.
The session will examine how deal structures and key contractual terms vary across jurisdictions as cross-border dealmaking becomes more common. Topics include locked-box mechanisms, indemnities and disclosure schedules, limitation periods, and the role of representation and warranty insurance in harmonizing global deal practice.
