We have been in the emerging company and venture capital industry since its inception. It is a core part of who we are as a firm and wasn’t something we jumped on recently as an opportunity to grow our client base. Our team has spent their careers counseling companies and funds on issues like company formation, fund formation, organizational structure, inter-founder matters, private financings and general corporate governance. 

We often hear that our clients view us as an extension of their team, and we think that is what truly sets us apart. We seek to build long-term relationships with our clients, and strive to achieve a high degree of familiarity with our client’s technology, position on deals, culture, style and as a result, we offer guidance that is tactical and forward-thinking. 

We also have a deep understanding for the industries our clients operate in. Many members of our team have advanced degrees and previous careers as in-house counsel at the types of companies turning to us for support. We are sought out experts in the areas of technology, life sciences, cannabis and energy.

  • Bespoke Post, a multi-category e-commerce retailer, in its $40 million Series B funding round led by NewSpring
  • SparkCharge, the world's first mobile EV charging network, in a $23 million Series A funding co-led by Tale Venture Partners and Pendulum
  • TrialJectory, operator of an AI-based healthcare platform designed to connect cancer patients with clinical trials, in its $20 million Series B financing, led by Insight Venture Management
  • Solo.io, a developer of tools to help the enterprise adapt and make the most of innovative cloud technologies in their $135 million Series C financing led by Altimeter, which pushed the company into the “unicorn club” by meeting $1 billion+ valuation mark
  • LinearB, a developer of productivity analytics software, in its $50 million Series B Financing round, led by Tribe Capital
  • Zapata Computing, a high-growth quantum software company in multiple financing rounds, including:
    • its $38 million Series B financing, led by Comcast Ventures, Pitango and Prelude Ventures
    • $21 million Series A financing 
  • Alcyone Therapeutics in relation to a $23.0 million financing led by funds affiliated with RTW Investments, LP., to support its pioneering development of next-generation precision central nervous system therapies
  • BostonGene, a developer of biomedical software for advanced patient analysis and personalized therapy, in connection with its $150 million Series B financing, which resulted in the company gaining “unicorn” status
  • Shift5, the OT cybersecurity company that defends military platforms and critical transportation systems from cyberattacks, in multiple financing rounds, including its $50 million in a Series B round led by Insight Partners
  • PhotoShelter, a provider of digital asset management software for organizations and creative professionals, in a $47 Million growth investment from Clearhaven Partners
  • Form Health, a telemedical weight loss company, in its $12 million Series A funding led by M13, with participation from SignalFire and NextView Ventures
  • Satellite Bio, a regenerative medicine company, in raising $110 million in Seed and Series A funding
  • RedShift BioAnalytics Inc. (RedShiftBio), a company providing next-generation platform technology enabling measurement of previously undetectable structure changes in biomolecules, in the closing of its $20 million Series E Preferred Stock financing
  • Rental platform Zumper in multiple financing rounds, including:
    • a $60 million Series D round led by e.ventures 
    • $46 million Series C financing
    • $17.6 million Series B funding led by Breyer Capital and Foxhaven Asset Management, including follow-up funding from existing investors
  • Alloy Therapeutics as an investor in several matters, including:
    • in $21 million Series A Preferred Stock Financing of Vernal Biosciences, a manufacturer of high purity mRNA for research and clinical use
    • $75.0 million Series C Financing led by 8VC, Presight Capital and Peter Thiel 
    • with the formation of Broadwing Bio LLC, a joint venture with Maze Therapeutics, Inc., to develop targeted antibody therapies for the treatment of ophthalmic diseases
  • ezCater, the only nationwide marketplace for business catering, in multiple financings, including its $100 million Series D financing led by Wellington Management Company LLP, with participation from existing investors ICONIQ Capital, Insight Venture Partners and others
     
INVESTOR REPRESENTATION
  • H.I.G. BioHealth Partners and Accelmed Partners as new investors and co-leads in the $52 million upsized Series B financing of digital therapeutics company Click Therapeutics, Inc. (“Click”)
  • Endicott Growth Equity Partners, L.P. (EGEP), an investment fund focused exclusively on the information services, data, and analytics sector, in the acquisition of a majority stake and strategic growth investment in BNamericas, a market-leading data and analysis company that provides critical business insights and actionable industrial project data on key sectors in Latin America
  • Bessemer Venture Partners in multiple financings, including as lead investor in the Series C financing of smart water dispenser Bevi (Hydration Labs) and as lead investor in a $17 million funding round for money management platform Truebill, Inc. 
  • Early stage venture capital firm .406 Ventures in multiple investments, including in its $9 million Series A investment in log search and analytics platform CHAOSSEARCH
  • Venture capital firm CRV in multiple financings, including as lead investor in a $10 million Series A for contract management company Concord
