Emily's practice encompasses a broad range of corporate and transactional matters for public and private companies, with a particular focus on debt financings and corporate governance. 

She advises clients on a variety of corporate debt finance transactions, including working capital facilities, investment fund credit facilities, syndicated facilities, and portfolio leverage facilities. Throughout all stages of the financing process, Emily provides practical guidance to both borrowers and lenders, including public companies, emerging growth companies, private equity sponsors, private funds and direct lenders. 

In addition to debt finance, Emily counsels public and private companies on a wide array of transactional matters, such as company formation and structuring, venture capital financings, mergers and acquisitions, and general corporate governance. She also advises public companies on public and private offerings of equity, SEC reporting obligations, and compliance with ongoing annual and periodic reporting requirements, including Section 16 matters and annual and special stockholder meetings.
