Our attorneys tailor their work to fit each client’s goals. We advise large institutional seed or anchor investors in bespoke, club deal and/or “new concept” investment products. We are involved in their entire investment process and we work closely to develop the ideal structure and negotiate the terms of the investment. Other clients prefer a high-level review of potential investments, in which we present items of material concern. The majority of our private fund investor clients fall in the middle. For these clients we review the full set of fund materials and advise on the key terms of the fund. We also analyze the tax and ERISA issues and any other special issues raised by the particular client’s status. We often negotiate changes to the fund’s governing documents and side letter agreements with the fund’s manager, and complete the client’s subscription documents.
