I enjoy working with emerging growth companies and their investors throughout the full life cycle of the company.

Sarah Ropiak focuses her practice on advising entrepreneurs and emerging growth companies on a wide range of corporate matters, including formation and founder’s arrangements, early- and late-stage financings, commercial transactions, mergers and acquisitions, and general corporate governance matters. Sarah’s clients include both public and private companies as well as venture capital investors. Sarah works across industries, however she has significant experience representing life sciences, technology and cannabis companies. She also represents entrepreneurs as they develop their business plans and launch their companies.

    • $42 million Series D financing round led by its existing investors 8VC and Mubadala Capital
    • $75.0 million Series C Financing led by 8VC, Presight Capital and Peter Thiel
    • As an investor in $21 million Series A Preferred Stock Financing of Vernal Biosciences, a manufacturer of high purity mRNA for research and clinical use
  • Zapata Computing, a quantum software company empowering enterprise teams to accelerate quantum solutions and capabilities, in closing its $38 million Series B financing, led by Comcast Ventures, Pitango and Prelude Ventures
  • Rental platform Zumper, Inc. in a $60 million Series D round led by e.ventures
  • Direct-to-consumer luxury shoe brand in connection with its Series B-1 Financing

  • Entegris (Nasdaq: ENTG), a leader in specialty chemicals and advanced materials solutions for the microelectronics industry, in its acquisition of Sinmat for $75 million
  • New-Indy Containerboard, a joint-venture formed by the Kraft Group and Schwarz Partners, LP, in its acquisition of Shoreline Container

CAPITAL MARKETS

  • Sensata Technologies (NYSE: ST), a global sensors and electronic controls manufacturer, in connection with a Rule 144A offering of $750 million senior notes and an additional offering of $250 million senior notes
  • Entegris, Inc. (Nasdaq: ENTG) in a 144A offering of senior unsecured notes in an aggregate principal amount of $400 million

STRATEGIC TRANSACTIONS

  • Alloy Therapeutics, Inc. with the formation of Broadwing Bio LLC, a joint venture with Maze Therapeutics, Inc., to develop targeted antibody therapies for the treatment of ophthalmic diseases
