Jennifer Macarchuk is a counsel in Foley Hoag's Business Department. Jennifer focuses on advising established and emerging life sciences and technology company clients on various licensing matters and drafts and negotiates intellectual property licenses, joint development, collaboration and strategic alliance agreements.
She has extensive experience drafting and negotiating material transfer, services, supply, manufacturing, clinical trial, confidentiality, sponsored research, and quality agreements.
As part of her broader corporate practice, Jennifer also advises company and investment adviser clients on a wide range of corporate and regulatory matters including corporate formation, general corporate governance, cross-border transactions, onshore and offshore fund formation, regulatory compliance for private fund managers and mergers and acquisitions.
Represents medical device, pharmaceutical, and biotechnology clients in licensing and collaboration transactions, as well as manufacturing, supply, and quality agreements, including:
Represented Dicerna Pharmaceuticals, Inc. (Nasdaq: DRNA) in a global collaboration and license agreement in excess of $1.67 billion in upfront and milestone payments, plus royalties, with Roche to develop and commercialize a treatment for chronic Hepatitis B Virus (HBV) infection
Represented a development-stage biopharmaceutical company in a development and option agreement for the development, manufacture, preclinical and clinical testing of nutritional products
Advised personalized health network PatientsLikeMe in its partnering agreements with digital life company iCarbonX
Represented a biopharmaceutical company in license and supply agreements for use and supply of a diuretic for the treatment of edema in patients with heart failure
Represented a biopharmaceutical company in a development and license agreement to develop and commercialize a drug/device combination product
Represented International Data Group, Inc. in its acquisition by China Oceanwide and IDG Capital, Inc.
